Agreement on the provision of services for access to Content
This Agreement on the provision of services for access to Content (hereinafter referred to as the “Agreement”) is concluded between the INDIVIDUAL ENTREPRENEUR ALYOSHKO OLENA VITALIIVNA, acting on the basis of state registration, with the address: Ukraine, region Kyivska, Irpin, str. Eroshchenka, bldg. 12a, sq. 13 (hereinafter – “Olena Alyoshko”) and, accordingly, a natural person, organization or legal entity that agrees with the terms of this Agreement (hereinafter – “User”).
This Agreement is public and published on the Internet at: https://www.physiospace.com.ua/.
The publication of this Agreement is considered by Olena Alyoshko as sending a public offer to any organization, legal entity or natural person who has reached the age of 18. By publishing this Agreement, Olena Alshko invites the indicated persons to enter into an Agreement with her on the terms set forth below.
1. DEFINITION OF TERMS
1.1 “Website” is a computer program containing Content, including objects of intellectual property and any other information and/or objects implemented on the Internet at the address: https://www.physiospace.com.ua/.
1.2 “Content” means webinars, phonograms, videograms, text, graphics, audio-visual or any other materials developed, organized or provided by Elena Alyoshko and placed (available) on the Website for use by the User.
1.3 “Account” (“Profile”) is an account on the Website created (registered) by the User to use the Website, in accordance with the requirements and conditions of this Agreement.
1.4 “User Registration Data” means information about the User, in particular, first and last name, e-mail, contact phone number, as well as any other information necessary to provide the service of access to the Content.
1.5 Content access service is a service that is the subject of this Agreement and is provided by Elena Alyoshko under the terms of this Agreement, a service that is consumed by the User in full at the time of visiting (at least once) the relevant Content page on the Website.
2. Procedure for CONCLUSION AND TERMINATION of the Agreement
2.1 The contract is concluded by taking conclusive actions. The Agreement is considered concluded by the User, which means the full, unconditional and unconditional acceptance by the User of all the terms of the Agreement without any exceptions and/or limitations, and is equivalent to the conclusion of a bilateral written Agreement from the moment the User makes the Acceptance.
2.2 The User is considered to have made the Acceptance from the moment of payment of the cost of the access service to the relevant Content or from the moment of putting the appropriate mark in the process of creating an Account on the Website by the User.
2.3 This Agreement enters into force from the moment of its conclusion by the User (in accordance with Clause 2.1 and Clause 2.2 of the Agreement) and is valid for the entire period of performance by the Parties of the obligations stipulated in this Agreement.
2.4 The Agreement may be terminated early by any of the Parties in the event of a breach by the other Party of its obligations under this Agreement by sending a notice by e-mail, with a note in the subject of the letter “Termination of the Agreement”, to the address: phesiospace.ua@gmail.com ( message to Olena Alyoshko) and to the User’s e-mail address, which was specified by the User when registering the Account (notice to the User), 3 (three) working days before the scheduled termination date.
2.5 Olena Alyoshko has the right to refuse to fulfill her obligations under this Agreement in accordance with the procedure provided for in clause 2.4. of the Agreement, and at the same time, the User is exempted from reimbursement of any sums received from the User as a fee for the service of access to the Content under this Agreement, and in the event that the termination of the Agreement causes the User any damages, the User is exempted from their reimbursement.
2.6 The User’s refusal to fulfill his obligations under this Agreement (termination of the Agreement at the User’s initiative) is also considered the User’s refusal of all services provided to him under the terms of this Agreement.
3. RULES OF USE OF THE WEBSITE
3.1 Account registration
- To use the Website, the User must fill out the appropriate registration form and create an Account on the Website, specifying the necessary User Registration Data. The User agrees to provide accurate information when registering and using the Website, and agrees to update his Account to keep it current. The User agrees that Olena Alyoshko may store and use the User’s Registration Data while providing the User with access to the Content.
- The user undertakes not to disclose information about the Account to any third party and is solely responsible for maintaining the confidentiality and security of the Accountaccount, as well as for all actions that occur with or through the Account, and agree to immediately notify Elena Alyoshka of any breach of Account security. Olena Alyoshko is not responsible for any damages arising from the unauthorized use of the User’s Account.
- Accounts can only be created by persons 14 years of age or older. Accounts for persons under the age of 14 may be created by a parent or legal guardian. Minors under the age of 18 must carefully read this Agreement together with a parent or legal guardian.
3.2 Provision of Content access service
Access to paid Content on the Website is provided only after 100% payment of the cost of the access service to the relevant Content through the payment methods offered to the User during the purchase of the relevant Content. Olena Alyoshko draws the attention of the User that Olena Alyoshko does not collect and process any banking and/or financial information related to any payment by the User on the Website, all calculations on the Website are carried out by the User through web interfaces financial institutions that have the right to provide relevant services. The parties confirm their agreement and agreement that, at the request of the User, payment under this Agreement can also be made by the User on the basis of the relevant account of Elena Alyoshko.
3.3 Rules for Use of Content on the Website
The use of Content on the Website by the User is subject to the following conditions:
- The User is allowed to use the Content only for personal non-commercial use;
- The User is prohibited from copying, saving and recording the Content on a disc or any other information medium, and is also prohibited from distributing the Content in any way and for any purpose, including on the Internet;
- The User has the right to use the Content only online using the Website and/or the tools offered/provided on it;
- The User is prohibited from providing access to the Content to any third parties;
- The User is prohibited from hacking the software and/or otherwise interfering with the operation of the Website, as well as using the Website and/or any of its elements and/or any Content for any illegal activity.
- Olena Alyoshko reserves the right to delete the Account of any User without payment of any compensation for the purchased services of access to Content on the Website for violation of the terms of the Agreement and/or the Rules of Use of Content on the Website.
- Olena Alyoshko reserves the right to change the Content without prior and subsequent notice to the User and is not responsible for making such changes.
4. INTELLECTUAL PROPERTY
Olena Alyoshko grants the User a non-exclusive, non-sublicensing, revocable license, which extends to the territory of all countries of the world, to use the Content, on the terms set forth in this Agreement, and for the period specified on the page of the relevant Content, exclusively by types (methods) use provided technically on the Website and with the help of tools provided to the User on the Website. The parties are aware that the User’s use of the Content on the Website can be both free and paid. Therefore, the license referred to in this paragraph can also be, respectively, free of charge or paid (in the amount of the cost of payment for access services to the relevant Content on the Website).
Olena Alyoshko (or a third party – the right holder) reserve all exclusive intellectual property rights to the Content belonging to them, including the right to prevent and prohibit the illegal use of the Content by third parties.
Notwithstanding the above, Olena Alyoshko does not grant the User any rights to use signs for goods and services that may be contained in the Content, as well as on the Website.
5. LIMITATION OF LIABILITY
5.1 Olena Alyoshko is not responsible for the termination of access to the Website, which was not caused by its fault, nor is it responsible for any damage caused to the User by such temporary termination of access.
5.2 From time to time Olena Alyoshko will carry out technical maintenance of the Website, although Olena Alyoshko does not undertake the responsibility to inform the User about scheduled and unscheduled maintenance measures, Jane will try to take possible measures upon notification of the User, but will not be responsible for any what damage was caused to the User by such temporary termination of access.
5.3 Olena Alyoshko does not guarantee and is not responsible for any results of providing access to Content on the Website, including in the form of test results, improvement of health status, treatment of some painful conditions, etc., as the Parties understand, confirm and realize that each person is personally responsible for his health and is obliged independently and with the involvementappropriate qualified doctors to weigh, analyze and make decisions about the appropriateness, necessity and safety of any advice, recommendations, conclusions, regardless of the content of the Content on the Website.
6. COMPENSATION OF THE COST OF THE ACCESS SERVICE
6.1 The User acknowledges, understands and agrees that the Content access service provided by Olena Alyoshko under this Agreement is consumed by the User in full at the time of the User’s visit (at least once) to the corresponding Content page on the Website. Considering this, the User understands and agrees that Olena Aloshko is not obliged to reimburse the User (in whole or in part) the cost of any Content, since Olena Aloshko, in accordance with this Agreement, provided, and the User, accordingly, consumed this service in in full by visiting the relevant Content page on the Website. In addition, the User, by signing this Agreement, confirms his awareness and acceptance of the fact that when making a payment under this Agreement, there is a commission, which is charged in addition to the payment amount by the relevant financial institution for making the payment by the User in favor of Olena Alyoshko.
7. CHANGES IN THE AGREEMENT
7.1 This Agreement can be changed unilaterally by Olena Alyoshko without prior and subsequent notification to the User. Changes come into force on the day of publication of this Agreement on the Website.
7.2 The current version of this Agreement is available (published) on the Internet at: https://www.physiospace.com.ua/
7.3 The User understands and agrees that his agreement to the terms of this Agreement or his use of the Website after the date of publication of changes to this Agreement means the User’s agreement to the updated terms. If the User does not agree with the changed terms of the Agreement, he may terminate his relationship with Olena Alyoshko in accordance with the procedure established by this Agreement.
8. FORCE MAJEURE
The Party shall not be liable to the other Party for any damages or losses resulting from late performance or non-performance of this Agreement, in whole or in part, if it is caused, in whole or in part, by circumstances, events or reasons beyond the control of the Parties and without negligence on the part of the Parties. Such circumstances, events or causes include (the list is not exclusive) natural disasters, strikes, lockouts, mass riots, military actions, earthquakes, fires and explosions, while the inability to meet its financial obligations is expressly excluded from the Parties hereto. The fact of the occurrence and duration of force majeure circumstances must be documented by a competent state body in accordance with the current legislation of Ukraine.
LAW APPLICABLE TO THE AGREEMENT
The law of Ukraine applies to this Agreement and its interpretation, and all disputes related to this Agreement shall be resolved in the courts of Ukraine. In everything that is not regulated by this Agreement, the Parties are guided by the norms of the legislation in force in Ukraine.
SPECIAL CONDITIONS
At the request of the User, this Agreement can be executed by the Parties in a simple written form. In the event that the User needs a printed and signed paper copy of the Agreement, the User undertakes to inform Elena Alyoshka about this by writing a corresponding letter from the User’s e-mail address, which was specified by him when registering the Profile on the Website. Olena Alyoshko, upon receiving such notification from the User, undertakes to prepare and sign such Agreement in two identical copies and send them to the User by registered mail (or deliver them personally) to the address agreed upon by the Parties in addition. The user who received a signed paper Agreement from Olena Alyoshko in two copies undertakes to sign such Agreement properly on his part and send it to Olena Alyoshko at the address specified in such Agreement.
Olena Alyoshko is a single tax payer (group 2) under the conditions stipulated by the Tax Code of Ukraine and is not a VAT payer.
The User acknowledges the legal payment of services under this Agreement with the use (confirmation) of the Login and Password specified by the User when creating an Account on the Website. The User acknowledges and confirms that the services paid for using (confirmation of) the Login and Password specified by the User when creating an Account on the Website are paid for by him (the User) personally.
